Your company, ready for the buyer or investor. Minus the pain.
Dilix builds your data room and checks it the way the buyer's due diligence will: what's missing, what doesn't match, who should have signed and how. It tells you exactly what to fix.
Weeks of daunting preparation become days. Fewer findings for the buyer's advisors, fewer billable hours on both sides, and less of the back-and-forth that stalls the deal. Fix it before the room opens, and it never touches the price.
Data room preparation happens at the worst possible time.
It lands on the team as the deal is about to close, with the company's price and credibility on the table. Documents get chased over email, signatures get checked by eye, and someone is renaming files at 2am.
Five steps. Dilix tells you what's next.
Confirm your company. Pick your list.
Choose the jurisdiction and confirm your company straight from the commercial registry. Then start from the buyer's request list, use ours, or go without.
Then watch: Dilix reads the registry records straight into your room.
The diligence checks start while the room fills.
While the room is being built, Dilix gets to know the company and runs the due-diligence analysis on it. The findings come as a report anyone on the deal can read: each one in plain words, with its weight and its cure. What truly needs a lawyer comes marked. The first check, Title Chain, follows the company's ownership end to end, and is included in every beta room. More checks roll out from 2027, legal first, sold separately.
Dilix is software, not a law firm; its findings are not legal advice.
How Dilix understands the company and why it matters →The reconstructed balance is 100,000, while the share register records 104,120.
Closes with: the missing transfer, conversion, or corrected register entry.
Why it matters: 4,120 shares is 4.0% of issued capital, held by the second-largest shareholder.
Example findings and what curing them might look like
A share transfer has no signed assignment.
The cure: Find the declaration; if it's gone, recreate it and have the parties sign. Ownership allows no gaps.
A contractor's contract assigns no IP.
The cure: If the work matters, a new assignment; if not, disclose and move on.
A key supplier can terminate on change of control.
The cure: Renegotiate a big contract before the buyer finds the clause; a small one goes on the disclosure list.
Sell-side M&A advisors and bankers
Run it under your mandate: your logo on the room, your client invited in to collaborate, or work it entirely yourself. Built and checked without burning an analyst's week.
Sellers and their teams
You're running the company and selling it at the same time. Dilix builds the room without claiming your team's nights, and shows you what the buyer's lawyers will find while there's still time to fix it.
Buyers and investors
Due diligence without the heavy bill. Have the company build its room with Dilix; the findings arrive with their evidence, most of the reading already done. Hand them to your lawyers for the hard questions, or take the report as it is where the deal allows.
Lawyers
Most tools give you a better-indexed pile. Dilix hands you the case itself: the findings, their evidence, and the picture of the company behind them, so your hours go to the hard questions.
One price per deal. Paid when you download.
Everything until then is free: set up, collect, work the room's findings. The price is fixed and agreed before you start. During the beta, the diligence checks are included; after it, new checks are sold separately. No subscription; a deal expense, not overhead.
Your documents stay yours.
Dilix never uses your documents to train models, and never connects to your company's files. Your room is encrypted and hosted in Switzerland. Delete the room and everything in it is gone.
